Upgrading from 1.9 to 2.x

Quick question - are there any major issues/changes/problems that may arise is upgrading from 1.9 to 2.2 or 2.3? Any suggestions on things to watch out for? I've been browsing this forum and see others have had issues and would like my client to upgrade - but they're reluctant due to concerns about any issues that may arise.
