upgrading from nopcommerce 1.9 to 2.3 PLEASE HELP

If you do customization on Nopcommerce, is is true that if you  upgrade from version 1.9 to 2.3, all customizations done to the site will be lost?

2.00 was rewritten from scratch (moved to MVC, new data access, etc). So yes, your changes will be lost

is it possible to "install" the upgrade localy and then change the site so it looks like the old one, before the files is uploaded.

One more thing, is the filestructure so different that all google juice is lost.
